ДОГОВОР-ОФЕРТА ДЛЯ МЕНЕДЖЕРОВ
на оказание услуг по сопровождению заказов на Платформе ЗЕФИР-ИТ (ZEFIR-IT)

Индивидуальный предприниматель Ипполитов Александр Александрович (далее — «Платформа» или «Заказчик»), действующий на основании ОГРНИП 326774600374659, с одной стороны, и любое дееспособное физическое лицо, акцептовавшее настоящую оферту (далее — «Менеджер» или «Исполнитель»), с другой стороны, вместе именуемые «Стороны», заключили настоящий Договор о нижеследующем.
⚖️ Акцепт оферты
✅ Проставление галочки «Я принимаю условия Оферты для менеджеров» при регистрации на Платформе означает полное и безоговорочное принятие (акцепт) всех условий настоящего Договора.
1. ПРЕДМЕТ ДОГОВОРА
1.1. Платформа поручает, а Менеджер принимает на себя обязательства по оказанию услуг по сопровождению заказов Клиентов Платформы (далее — «Услуги»).
1.2. В обязанности Менеджера входит:
- Коммуникация с Клиентом и Исполнителем в чатах Платформы;
- Контроль соблюдения сроков согласно карточке заказа;
- Проверка промежуточных и финальных результатов на соответствие Техническому Заданию (ТЗ);
- Содействие в урегулировании спорных ситуаций между Клиентом и Исполнителем;
- Запуск процедуры подписания актов приёма-передачи.
1.3. Конкретный перечень заказов и размер вознаграждения за каждый заказ фиксируются в автоматическом Отчете Менеджера в Личном кабинете на Платформе.
2. ПОРЯДОК ЗАКЛЮЧЕНИЯ ДОГОВОРА
2.1. Настоящий документ является публичной офертой в соответствии со ст. 435 и 437 ГК РФ.
2.2. Акцептом (полным и безоговорочным принятием) оферты считается:
- Регистрация Менеджера на Платформе и проставление отметки «Принимаю условия Оферты для Менеджеров»;
- Фактическое начало оказания услуг по сопровождению первого заказа, предложенного Платформой.
2.3. С момента акцепта Договор считается заключенным в простой письменной форме (п. 3 ст. 434 ГК РФ).
3. СТАТУС И НАЛОГИ
3.1. Налоги с доходов, полученных от Платформы, Менеджер уплачивает самостоятельно (как самозанятый, ИП или физическое лицо).
3.2. Менеджер обязан незамедлительно уведомить Платформу об изменении своего налогового статуса.
4. ВОЗНАГРАЖДЕНИЕ И ПОРЯДОК РАСЧЕТОВ
4.1. Размер вознаграждения рассчитывается автоматически согласно разделу 9.2 Правил платформы и зависит от Статуса Менеджера и стоимости заказа.
4.2. Основанием для выплаты является успешное закрытие заказа (подписание актов Клиентом и Исполнителем).
4.3. Платформа выплачивает Менеджеру вознаграждение в течение 5 (пяти) рабочих дней после получения от Менеджера заявки на вывод через Личный кабинет, при условии, что денежные средства от Покупателя по данному заказу уже поступили на счёт Платформы и приёмка работ подтверждена.
4.4. Выплата производится на банковские реквизиты, указанные Менеджером в Личном кабинете.
5. ПРАВА И ОБЯЗАННОСТИ СТОРОН
5.1. Менеджер обязуется:
- Соблюдать Политику платформы, включая перечень не принимаемых заказов;
- Действовать добросовестно и в интересах Платформы;
- Не разглашать конфиденциальную информацию и персональные данные Клиентов и Исполнителей.
5.2. Менеджер вправе:
- Получать вознаграждение за фактически оказанные и подтвержденные услуги;
- Отказаться от сопровождения заказа до момента назначения Исполнителя, уведомив Платформу.
5.3. Платформа обязуется:
- Обеспечить Менеджера доступом к чатам и инструментам управления заказом;
- Своевременно производить выплаты согласно разделу 4.
6. ОТВЕТСТВЕННОСТЬ СТОРОН
6.1. Менеджер несет ответственность за убытки, причиненные Платформе его виновными действиями (разглашение данных, умышленный срыв сроков, подлог документов).
6.2. Платформа не несет ответственности за невыплату вознаграждения, если заказ был отменен по вине Клиента или Исполнителя.
7. СРОК ДЕЙСТВИЯ И РАСТОРЖЕНИЕ
7.1. Договор вступает в силу с момента акцепта и действует бессрочно.
7.2. Каждая из Сторон вправе расторгнуть Договор в одностороннем порядке, уведомив другую Сторону через интерфейс Платформы не менее чем за 3 (три) рабочих дня. При этом Менеджер обязан завершить сопровождение всех текущих заказов, переданных ему до момента расторжения, либо передать их другому менеджеру по указанию Платформы.

Настоящий договор-оферта регулирует отношения между Платформой и Менеджером в соответствии с Правилами платформы Zefir‑IT и действует в редакции, опубликованной в личном кабинете.
OFFER AGREEMENT FOR MANAGERS
for the provision of order support services on the (ЗЕФИР-ИТ) ZEFIR‑IT Platform

Sole Proprietor Ippolitov Alexander Alexandrovich (hereinafter – the “Platform” or the “Customer”), acting on the basis of OGRNIP 326774600374659, on the one part, and any legally capable natural person who has accepted this offer (hereinafter – the “Manager” or the “Executor”), on the other part, collectively referred to as the “Parties”, have entered into this Agreement as follows.
⚖️ Acceptance of the offer
✅ Checking the box “I accept the terms of the Manager Offer” during registration on the Platform constitutes full and unconditional acceptance of all terms of this Agreement.
1. SUBJECT OF THE AGREEMENT
1.1. The Platform assigns, and the Manager undertakes to provide, services for supporting the orders of the Platform’s Customers (hereinafter – the “Services”).
1.2. The Manager’s duties include:
- Communicating with the Customer and the Executor within the Platform chat;
- Monitoring compliance with deadlines according to the order card;
- Checking that interim and final results meet the requirements of the Technical Specification (TS);
- Assisting in the settlement of disputes between the Customer and the Executor;
- Initiating the acceptance certificate signing procedure.
1.3. The specific list of orders and the amount of remuneration for each order are recorded in the automatic Manager’s Report in the Personal Account on the Platform.
2. PROCEDURE FOR ENTERING INTO THE AGREEMENT
2.1. This document is a public offer in accordance with Articles 435 and 437 of the Civil Code of the Russian Federation.
2.2. Acceptance (full and unconditional acceptance) of the offer is considered:
- Registration of the Manager on the Platform and checking the box “I accept the terms of the Manager Offer”;
- The actual commencement of providing services for the first order proposed by the Platform.
2.3. From the moment of acceptance, the Agreement is deemed concluded in simple written form (clause 3 of Article 434 of the Civil Code of the Russian Federation).
3. STATUS AND TAXES
3.1. Taxes on income received from the Platform shall be paid by the Manager independently (as self‑employed, sole proprietor, or individual).
3.2. The Manager must immediately notify the Platform of any change in their tax status.
4. REMUNERATION AND SETTLEMENT PROCEDURE
4.1. The amount of remuneration is calculated automatically in accordance with Section 9.2 of the Platform Rules and depends on the Manager’s Status and the order value.
4.2. The grounds for payment are the successful closure of the order (signing of acceptance certificates by the Customer and the Executor).
4.3. The Platform pays the Manager a remuneration within 5 (five) business days after receiving the Manager’s withdrawal request via the Personal Account, provided that the funds from the Buyer for this order have already been credited to the Platform’s account and the acceptance of the work has been confirmed.
4.4. Payment is made to the bank details specified by the Manager in the Personal Account.
5. RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Manager undertakes:
- To comply with the Platform Policy, including the list of orders not accepted;
- To act in good faith and in the interests of the Platform;
- Not to disclose confidential information and personal data of Customers and Executors.
5.2. The Manager is entitled to:
- Receive remuneration for services actually rendered and confirmed;
- Refuse to support an order before the Executor is appointed, by notifying the Platform.
5.3. The Platform undertakes:
- To provide the Manager with access to chats and order management tools;
- To make timely payments in accordance with Section 4.
6. LIABILITY
6.1. The Manager shall be liable for losses caused to the Platform by their culpable actions (disclosure of data, intentional delay, forgery of documents).
6.2. The Platform shall not be liable for non‑payment of remuneration if the order was cancelled through the fault of the Customer or the Executor.
7. TERM AND TERMINATION
7.1. The Agreement enters into force upon acceptance and is valid indefinitely.
7.2. Either Party may terminate the Agreement unilaterally by notifying the other Party through the Platform interface at least 3 (three) working days in advance. In such case, the Manager shall complete support of all current orders assigned to them prior to termination, or transfer them to another manager as directed by the Platform.

This offer agreement governs the relationship between the Platform and the Manager in accordance with the Zefir‑IT Platform Rules and is effective in the version published in the personal account.
